Vendor Terms

Last Updated: 06/12/2025 These Vendor Terms & Conditions (“Agreement”) govern the relationship between Whatsafo (“Company”, “we”, “our”, “us”) and the Vendor (“you”, “your”, “service provider”). By partnering with Whatsafo or providing services, you agree to these terms. 1. Eligibility & Registration 1.1 Vendor must provide accurate business and contact information. 1.2 Vendor must be legally authorized to operate and provide services in their region. 1.3 Any false information may lead to immediate termination of the vendor agreement. 2. Scope of Work 2.1 Vendor shall provide services as mutually agreed upon—such as onboarding, setup, support, marketing, reseller functions, or any service related to Whatsafo. 2.2 All services must follow Whatsafo’s brand guidelines, quality standards, and compliance policies. 2.3 Vendors may not make promises or commitments to clients beyond what Whatsafo officially provides. 3. Relationship Between Vendor & Whatsafo 3.1 Vendor is an independent contractor, not an employee or representative of Whatsafo. 3.2 Vendor cannot claim to legally bind or represent Whatsafo without written permission. 3.3 This agreement does not establish any partnership, joint venture, or employment relationship. 4. Pricing & Payments 4.1 All vendor payouts or commissions will follow the official rate sheet provided by Whatsafo. 4.2 Payments will be made only after completion and verification of tasks. 4.3 Any fraudulent activity (fake leads, fake clients, fake billings) will result in non-payment and termination. 4.4 Taxes, GST, and compliance are the vendor’s responsibility unless otherwise agreed. 5. Confidentiality 5.1 Vendor must keep all internal documents, pricing, strategies, software details, and client information confidential. 5.2 Sharing sensitive information with competitors or third parties is strictly prohibited. 5.3 Confidentiality obligations continue even after termination of this agreement. 6. Vendor Obligations Vendor must: 6.1 Follow Whatsafo’s policies, training guides, and quality rules. 6.2 Ensure accuracy when communicating with clients about Whatsafo features and pricing. 6.3 Not misuse customer data or Whatsafo systems. 6.4 Not modify, copy, redistribute, or claim ownership of any Whatsafo features or software. 7. Use of Brand Name 7.1 Vendor may only use the name “Whatsafo” for marketing after receiving written approval. 7.2 All brand assets (logo, creatives, brochures) remain the intellectual property of Whatsafo. 7.3 Unauthorized brand usage may lead to termination and legal action. 8. Compliance Requirements 8.1 Vendor must comply with all applicable laws. 8.2 Vendor must follow WhatsApp Cloud API Policies, Meta rules, and anti-spam policies. 8.3 Vendor must ensure clients onboarded through them also follow all compliance requirements. 9. Prohibited Activities Vendors must NOT: Sell or promote illegal, harmful, spam, or misleading services Misrepresent Whatsafo’s features or pricing Engage in unfair competition or poaching Whatsafo clients Use the WhatsApp API for spam, phishing, or abusive content Attempt to resell Whatsafo without an approved reseller agreement Any violation may result in immediate termination. 10. Liability & Indemnity 10.1 Whatsafo is not liable for mistakes or false commitments made by vendors. 10.2 Vendor agrees to indemnify Whatsafo against losses caused by their negligence, fraud, or policy violations. 10.3 Whatsafo is not responsible for any business loss, damage, or legal claim arising from the vendor’s activities. 11. Intellectual Property 11.1 All copyrights, software, designs, documents, and trademarks related to Whatsafo belong exclusively to the company. 11.2 Vendor receives a limited, non-transferable, revocable license to use approved materials. 12. Termination 12.1 Whatsafo may terminate the vendor agreement at any time for: Misconduct Non-performance Policy violations Misrepresentation Fraudulent activity 12.2 Upon termination: Vendor must stop using Whatsafo brand assets Any pending commissions may be withheld in case of rule violations Access to internal dashboards or tools will be removed 13. Modification of Terms Whatsafo may update these terms at any time. Continued vendor activity indicates acceptance of updated terms. 14. Dispute Resolution 14.1 Any disputes will be resolved through discussion first. 14.2 If unresolved, disputes will be governed by the jurisdiction of [Insert City/State]. 15.
